Terms of Service

These Terms of Service, referred to as the “Terms”, form a legally binding agreement between you and VBR GROUP LLP, a Limited Liability Partnership registered in England and Wales, referred to as “GotYa”, “we”, “our”, or “us”.

These Terms govern your access to and use of the GotYa website, applications, Wallet, digital Pack service, Marketplace, auctions, Vault services, Buyback service, rewards, promotions, physical redemption services, and all related features, collectively referred to as the “Service”.

By creating an Account, funding a Wallet, purchasing or opening a Pack, acquiring, listing, selling, or bidding on an Asset, accepting a Buyback Offer, requesting physical delivery, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you must not use the Service.

These Terms replace all previous GotYa terms from the Effective Date onward. Transactions and events occurring before that date remain subject to the terms applicable at the time, unless applicable law requires otherwise.

1. Important Notice

GotYa offers chance-based purchases involving physical collectibles with real-world market value.

Before purchasing a Pack, you acknowledge that:

• The Asset you receive is determined by chance
• You cannot select the specific Asset received
• The Asset may have an estimated value below the Pack Price
• A smaller number of Assets may have an estimated value above the Pack Price
• Market values may rise or fall
• Expected Value is an estimate and not a guaranteed return
• Buyback is available only for the limited period displayed
• Marketplace liquidity is not guaranteed
• GotYa should be used for entertainment and collecting purposes
• You should not spend more than you can afford
• The Service may not be lawful or available in every jurisdiction

Each successfully completed Pack purchase allocates one physical Asset. There is no outcome where a completed Pack contains no Asset.

Nothing in these Terms determines how GotYa or its Pack mechanics are classified under the laws of any jurisdiction.

2. Definitions

For these Terms:

Account means a registered GotYa user account.

Asset means a specific physical collectible represented within GotYa, including professionally graded trading cards, sports cards, collectible cards, or other supported collectibles.

Asset Record means GotYa’s internal electronic record identifying an Asset, its characteristics, recorded owner, transaction status, and custody status.

Buyback Offer means a limited-duration offer by GotYa to purchase an eligible Asset from its recorded owner.

Expected Value or EV means an estimated weighted average based on the FMV and probability of each Asset assigned to a Pack.

Fair Market Value or FMV means GotYa’s good-faith estimate of an Asset’s current market value based on available data and internal methodology.

Marketplace means the GotYa service through which eligible users may list, purchase, sell, or bid on vaulted Assets.

Pack means a digital purchase experience through which one physical Asset is randomly allocated from defined inventory.

Pack Price means the amount charged for a Pack, excluding separately disclosed taxes, foreign-exchange costs, bank fees, or payment-provider charges.

Vault means the physical storage location in which GotYa Assets are held.

Wallet means GotYa’s internal ledger interface used for funding purchases, receiving proceeds, holding credits, and requesting eligible bank withdrawals.

3. Operating Entity

The Service is operated by:

4. Eligibility and Restricted Jurisdictions

You must be at least 18 years old and legally capable of entering into a binding agreement.

By using GotYa, you represent that:

• You are at least 18 years old
• You use the Service on your own behalf
• Your use is lawful where you are located
• Information you provide is accurate
• Funds used come from lawful sources
• You are authorized to use each payment method and bank account provided
• You are not subject to applicable sanctions or trade restrictions

The Service is not available to persons located in, ordinarily resident in, or accessing the Service from:

• Cuba
• Iran
• North Korea
• Syria
• Crimea
• The Donetsk region
• The Luhansk region

GotYa may restrict additional jurisdictions based on law, sanctions, payment-provider requirements, banking restrictions, shipping limits, fraud risk, or operational risk.

You may not use a VPN, proxy, false address, or location-spoofing technology to bypass restrictions.

5. Accounts and Security

You may be required to create an Account.

You agree to:

• Provide accurate and current information
• Maintain only one Account unless approved otherwise
• Keep login credentials secure
• Not sell, transfer, share, or license your Account
• Not allow another person to use your Account
• Notify GotYa promptly of unauthorized access
• Keep identity, contact, payment, bank, and shipping details current

You are responsible for activity conducted through your Account unless caused directly by a security failure within systems controlled by GotYa.

GotYa may identify and restrict related, duplicate, fraudulent, or coordinated Accounts using identity, device, payment, bank, network, address, and behavioral information.

6. Identity Verification, Banking, AML, and Sanctions

GotYa may require identity, age, address, bank, tax, source-of-funds, or payment verification:

• Before purchases
• Before Wallet funding
• Before bank withdrawal
• Before physical redemption
• Before high-value transactions
• Before auction or Marketplace participation
• Before paying a prize
• Where required by law, banks, or payment providers
• Where suspicious activity is detected

Withdrawals may only be made to a verified bank account held in the same legal name as the verified Account holder.

GotYa may refuse or delay access, transactions, withdrawals, or redemptions if:

• Verification is incomplete
• Information is inconsistent or inaccurate
• Fraud is suspected
• Funds may be unlawful
• A sanctions or compliance issue exists
• A bank or payment provider requires review

You must not use GotYa for money laundering, terrorist financing, fraud, sanctions evasion, tax evasion, market manipulation, payment laundering, or other unlawful activity.

7. Nature of the Service

GotYa may provide:

• Chance-based Pack purchases
• Vault storage
• Internal ownership records
• A user Marketplace
• Fixed-price listings
• Auctions
• Limited-duration Buyback Offers
• Wallet functionality
• Rewards
• Promotions
• Physical redemption and shipping

GotYa may act in different capacities.

For initial Pack sales, GotYa or an affiliated supplier may be the Seller.

For Marketplace sales, the listing user is generally the Seller unless GotYa is clearly identified as the Seller.

For Buyback transactions, GotYa is the Buyer.

GotYa is not a bank, insurer, grading company, investment adviser, broker-dealer, fiduciary, trustee, or regulated escrow provider.

8. No External Asset Deposits

Users cannot mail, consign, transfer, or submit independently owned outside Assets into the GotYa Vault.

Only Assets originally offered, introduced, sold, or allocated through GotYa may be represented in the Service.

If GotYa introduces external submissions in the future, separate terms will apply.

9. Ownership and Asset Records

Subject to successful payment, completed allocation or sale, verification, and the absence of fraud, chargeback, legal restriction, or manifest error, legal title to an Asset transfers when GotYa records the transaction as completed.

The physical Asset may remain in the Vault after ownership transfers.

GotYa does not become the owner of a user-owned Asset merely because it remains vaulted.

GotYa’s internal records are the authoritative records for:

• Pack allocations
• Ownership
• Wallet activity
• Marketplace sales
• Buybacks
• Vault status
• Payments

GotYa may correct duplicate transactions, technical errors, incorrect ownership entries, failed payments, fraudulent transactions, and manifest display errors.

GotYa will not change a valid Pack result solely because it is favorable or unfavorable to either party.

10. Vault Custody and Security

Assets may be stored in a facility operated by GotYa or a contracted storage provider.

While vaulted:

• The Asset remains associated with its recorded owner
• Physical movement is normally unnecessary when ownership changes
• GotYa may handle the Asset for inventory, verification, photography, security, shipping, or legal compliance
• GotYa may move the Asset within or between approved facilities
• GotYa may use third parties for storage, logistics, and fulfillment

GotYa will use commercially reasonable security and inventory controls, which may include restricted access, surveillance, custody records, secure packaging, controlled handling, and specialist logistics.

No storage method is completely free from theft, fire, water damage, accidental damage, natural disaster, inventory error, misconduct, cyberattack, facility failure, carrier loss, government action, or force majeure.

11. No Dedicated Insurance

Vaulted Assets are not currently covered by a dedicated insurance policy maintained by GotYa for the benefit of individual users.

By keeping an Asset in the Vault, you acknowledge that:

• No insurance payout is guaranteed
• Loss or damage may not be insured
• Compensation may depend on the circumstances, applicable law, GotYa’s liability, and GotYa’s financial resources
• No specific replacement amount is guaranteed unless required by law

If an Asset is lost, stolen, destroyed, materially damaged, or cannot be located, GotYa may investigate, attempt recovery, offer a replacement, provide compensation based on reasonable FMV, or provide another remedy required by law.

Nothing in these Terms excludes liability for fraud, wilful misconduct, gross negligence where it cannot be limited, or mandatory consumer rights.

12. Grading, Condition, and Authenticity

Professional grading companies are independent third parties.

GotYa does not control:

• Their grading standards
• Their decisions
• Their certification databases
• Their labels
• Their population reports
• Changes to their standards
• Their decision to revise or revoke certification information

A professional grade is an opinion and not a guarantee of authenticity, condition, future grade, market value, or liquidity.

GotYa may perform reasonable checks, including slab inspection, certification verification, image review, and visible tampering review.

These checks reduce risk but do not guarantee that every counterfeit, altered, stolen, mislabeled, or fraudulent Asset will be detected.

For Assets initially supplied directly by GotYa, if a competent independent authority confirms that the Asset or slab was materially counterfeit at the time GotYa supplied it, GotYa may:

• Replace it with a comparable Asset
• Refund the amount paid
• Credit the Wallet
• Provide another remedy required by law

This does not cover disagreement with a grade, market-value changes, minor slab wear, certification-database outages, or damage occurring after physical delivery.

13. Packs, Odds, and Inventory

Each successfully completed Pack contains exactly one randomly allocated Asset from the relevant inventory.

Before purchase, GotYa may display:

• Pack Price
• Remaining inventory
• Probability brackets
• Expected Value
• Featured Assets
• Buyback percentage
• Applicable fees
• Other Pack-specific conditions

You cannot choose the specific Asset received.

Pack inventory is finite and changes as Packs are purchased.

The server-side inventory state associated with the accepted purchase controls the allocation.

Odds may:

• Update as inventory changes
• Be rounded
• Be temporarily delayed
• Differ slightly because of rounding
• Become unavailable during technical issues

GotYa does not guarantee a particular Asset, card, grade, value bracket, character, athlete, or estimated value.

14. Expected Value and Fair Market Value

Expected Value is an estimate based on the FMV and relative probability of the Assets assigned to a Pack.

EV:

• Is not a guaranteed return
• Is not a Buyback Offer
• Is not an appraisal
• Is not financial advice
• May differ from the Pack Price
• May change as inventory or FMV changes
• May be affected by rounding and data delays

Many individual outcomes may be below the Pack Price even where a smaller number of higher-value Assets increase the average.

GotYa may determine FMV using:

• Completed sales
• Marketplace listings
• Auction results
• Grading company
• Grade
• Card variation
• Population data
• Market liquidity
• Currency conversion
• Internal sales data
• Third-party pricing services

GotYa may disregard data that appears stale, manipulated, fraudulent, duplicated, incorrect, or unrepresentative.

FMV is a good-faith internal estimate and is not guaranteed to match a future sale, third-party appraisal, auction result, or user valuation.

15. Provably Fair Allocation and Technical Failures

GotYa may use a commit-reveal or comparable verification system.

Where used, GotYa may:

• Generate a server seed or random input
• Publish a cryptographic commitment before allocation
• Reveal verification information afterward
• Allow users to verify that the committed input was not changed

This does not guarantee that software, inventory data, or pricing data is error-free.

A Pack purchase is completed when:

• Payment or Wallet deduction is authorized
• Allocation is completed
• The Asset is recorded to the Account

If a technical failure occurs before completion, GotYa may retry, void the purchase, restore the Wallet balance, refund the Pack Price, or provide a replacement Pack.

If allocation completed but the reveal display was delayed, the recorded allocation remains binding.

GotYa may correct a verified technical allocation error, but will not reverse a valid result merely because the outcome was unusually favorable or unfavorable.

16. Purchase Finality and Consumer Rights

Except where applicable law requires otherwise, Pack purchases are final once the Asset is allocated or revealed.

By requesting a Pack opening, you request immediate performance of the allocation service.

Where legally permitted, you acknowledge that a statutory withdrawal right may end once immediate performance begins.

Nothing in these Terms removes mandatory rights relating to:

• Counterfeit goods
• Material misdescription
• Failure to allocate or deliver
• Unauthorized payments
• Defective digital performance
• Other non-waivable consumer rights

17. Buyback Offers

After a Pack is opened, GotYa may display a Buyback Offer.

The Buyback Offer:

• Is valid only for the limited period displayed
• May be based on a percentage of current FMV
• Expires automatically when the displayed period ends
• May be withdrawn before acceptance if a fraud, technical, legal, or pricing issue is identified
• Is subject to Account, ownership, payment, and compliance checks
• Is not a permanent guarantee of liquidity

The validity period may vary and does not need to be fixed in these Terms.

After expiry, GotYa may, but is not required to, display another Buyback Offer.

A later offer may use a different percentage, current FMV, different validity period, or may not be available at all.

When a valid Buyback Offer is accepted:

• The user agrees to sell the Asset to GotYa
• Title transfers when completed
• The Asset Record is updated
• Proceeds are credited to the Wallet
• The Asset may return to GotYa inventory

GotYa may reverse a Buyback involving fraud, duplicate payment, chargeback, manifest pricing error, compromised Account, ownership dispute, technical error, legal restriction, or market manipulation.

18. Marketplace and Auctions

The Marketplace allows eligible users to buy and sell vaulted Assets.

Unless GotYa is identified as the Seller:

• The listing user is the Seller
• The purchasing user is the Buyer
• GotYa provides the platform, payment facilitation, custody system, and ownership-record update
• GotYa is not responsible for every Seller representation

By listing an Asset, the Seller confirms that:

• The Seller is the lawful owner
• The Seller has authority to sell
• The Asset is free from competing claims
• The Asset has not been sold elsewhere
• The listing is accurate
• The transaction is lawful
• The Seller will not manipulate the sale

Fixed-price sales become binding when GotYa records the transaction as completed.

For auctions:

• Bids are binding
• Users must have sufficient funds
• GotYa may require verification or proof of funds
• Shill bidding, self-bidding, coordinated bidding, and manipulation are prohibited
• A winning Buyer must pay within the displayed period
• GotYa may cancel, extend, pause, or restart an auction affected by fraud, technical failure, or material error

19. Marketplace Fees

Marketplace fees may be promotional, reduced, or set at zero.

GotYa may introduce or change fees prospectively.

The fee displayed before confirmation controls the relevant transaction.

GotYa may deduct applicable:

• Marketplace fees
• Buyer premiums
• Bank or payment charges
• Taxes
• Shipping charges
• Refunds
• Chargebacks
• Other disclosed costs

20. Wallet and Handling of Funds

The Wallet is an internal ledger interface.

Wallet balances may include:

• User-funded amounts
• Marketplace proceeds
• Buyback proceeds
• Refunds
• Rewards
• Promotional credits

The Wallet is not a bank account, savings account, investment account, security, insured financial account, or deposit product.

Wallet balances do not earn interest.

Wallet funds are held within VBR GROUP LLP’s operating account or accounts and are not maintained in a legally segregated client-money account.

Accordingly:

• Wallet funds may be commingled with VBR GROUP LLP operating funds
• A Wallet balance represents a contractual amount owed by VBR GROUP LLP
• Wallet balances are not protected by a deposit-guarantee scheme
• Wallet balances may be affected by insolvency
• GotYa does not act as a bank or trustee in relation to Wallet funds

GotYa will maintain internal records intended to track each user’s balance.

21. Payments, Withdrawals, Chargebacks, and Negative Balances

You may fund the Wallet using supported payment methods.

Funding may be delayed, declined, limited, reviewed, reversed, or subject to third-party restrictions.

You may only use payment methods you are authorized to use.

Eligible balances may be withdrawn only to a verified bank account held in the verified Account holder’s legal name.

Withdrawals may be subject to:

• Identity verification
• Bank verification
• Minimum or maximum amounts
• Processing times
• Bank availability
• Foreign exchange
• Bank or intermediary charges
• Fraud review
• Chargeback review
• AML checks
• Source-of-funds review
• Country restrictions

Processing times are estimates and are not guaranteed.

Promotional or bonus credits may be non-withdrawable.

Wallet credits may remain provisional until the underlying payment becomes final.

If a payment is reversed, charged back, fraudulent, unauthorized, rejected, or not received, GotYa may:

• Reverse Wallet credits
• Create a negative balance
• Cancel transactions
• Reclaim vaulted Assets
• Restrict the Account
• Offset amounts against future proceeds
• Recover the outstanding amount

You should contact GotYa before initiating a chargeback where reasonably possible.

Fraudulent chargebacks may lead to suspension, termination, recovery of costs, and restriction of Wallet or Assets.

GotYa may set off undisputed amounts owed against Wallet balances, Marketplace proceeds, Buyback proceeds, refunds, rewards, or other amounts payable to you.

22. Manifest Errors

GotYa may cancel or correct a transaction involving a manifest pricing, Wallet, listing, inventory, payment, or system error.

Examples include:

• A misplaced decimal
• A duplicate credit
• A clearly unintended zero-price listing
• A failed currency conversion
• An impossible inventory allocation
• A clearly incorrect Buyback amount

Where reasonably possible, GotYa will restore the parties to their pre-transaction position.

This clause does not allow GotYa to reverse normal market movements or valid unfavorable transactions.

23. Physical Redemption, Shipping, and Delivery

The recorded owner may request physical delivery where available.

Before shipping, GotYa may require:

• Identity verification
• Address verification
• Ownership verification
• Payment of shipping and handling
• Compliance review
• Payment of customs, VAT, import duties, or other charges

Once redemption processing begins:

• The Asset may be removed from Marketplace eligibility
• Active listings may be cancelled
• The Asset may no longer be transferred
• The Asset Record may be marked as pending redemption

The user is responsible for applicable shipping, handling, packaging, carrier, tax, customs, import, return, and address-correction costs.

Delivery times are estimates.

Where mandatory consumer law applies, risk passes when the user or designated recipient receives the shipment.

GotYa is not responsible for delays caused by customs, incorrect addresses, refused delivery, failure to collect, government action, missing documents, carrier disruption, or force majeure.

Visible loss, damage, or tampering should be reported promptly, preferably within 48 hours, with photographs, packaging, tracking information, and relevant evidence.

That requested period does not remove mandatory legal rights.

24. Returns and Refunds

Except where required by law or expressly offered, GotYa does not accept returns solely because of:

• Buyer remorse
• Change of mind after reveal
• Market-value changes
• Disagreement with FMV
• Disagreement with a grade
• An outcome below the Pack Price
• An expired Buyback Offer
• Lack of Marketplace liquidity

Mandatory rights to refund, repair, replacement, cancellation, price reduction, withdrawal, or conformity remain unaffected where applicable.

25. Rewards, Promotions, and Giveaways

GotYa may offer:

• Reward points
• Loyalty levels
• Referral rewards
• Promotional credits
• Bonuses
• Giveaways
• Contests
• Leaderboard rewards

Unless stated otherwise, rewards:

• Have no cash value
• Are not transferable
• May not be withdrawn
• May expire
• May be conditional
• May be revoked for fraud or abuse
• May be modified or discontinued prospectively

Each promotion may be subject to separate Official Rules.

No purchase is necessary where required by law.

Buying Packs or funding the Wallet does not increase winning chances unless lawful Official Rules expressly state otherwise.

Where user-hosted giveaways are permitted, the host represents that the host owns the prize, may lawfully give it away, and has provided accurate conditions.

GotYa may lock the prize during the promotion and may cancel a giveaway affected by fraud, unlawful conditions, technical failure, lack of ownership, or manipulation.

26. Responsible Use and Self-Exclusion

GotYa is intended only for adults.

You agree to use the Service responsibly and within your financial means.

GotYa may offer:

• Spending limits
• Deposit limits
• Pack limits
• Cooling-off periods
• Self-exclusion
• Transaction history
• Account closure

You may not evade limits using another Account, another person, another payment method, false location details, or a VPN.

During self-exclusion, GotYa may restrict Pack purchases, Wallet funding, Marketplace purchases, auction bids, promotions, and marketing.

Subject to legal and compliance requirements, self-excluded users should remain able to contact support regarding existing Assets, eligible withdrawals, and physical redemption.

27. Prohibited Conduct and Market Manipulation

You must not:

• Use GotYa unlawfully
• Allow a minor to use your Account
• Provide false identity or location information
• Circumvent restrictions
• Operate multiple Accounts for advantage
• Manipulate Pack allocations
• Exploit technical errors
• Use unauthorized bots or automation
• Scrape the Service
• Manipulate FMV
• Conduct wash trades
• Engage in shill bidding
• Coordinate false bids
• Create sham transactions
• Manipulate external prices to influence GotYa
• File fraudulent chargebacks
• Launder funds
• Abuse promotions
• Harass users or staff
• Introduce malware
• Reverse engineer the Service
• Infringe third-party rights
• Interfere with security or operations

GotYa may disregard suspicious transactions when determining FMV and may suspend or terminate related Accounts.

28. Intellectual Property and User Content

Assets may include third-party artwork, names, athletes, characters, logos, designs, photographs, and trademarks.

Those rights remain with their respective owners.

Unless expressly stated, GotYa is not sponsored, licensed, endorsed, or affiliated with card manufacturers, grading companies, sports leagues, entertainment companies, game publishers, rights holders, or marketplaces.

The GotYa Service, software, branding, design, databases, Pack mechanics, interface, text, graphics, technology, algorithms, and systems are owned by VBR GROUP LLP or its licensors.

Users may submit profile information, listings, descriptions, images, reviews, comments, and support content.

You retain ownership of lawful User Content but grant GotYa a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, display, format, moderate, process, and use it as needed to operate, promote, secure, and enforce the Service.

29. Risk, No Financial Advice, and Taxes

Collectibles may be volatile and illiquid.

Nothing on GotYa constitutes:

• Investment advice
• Financial advice
• Legal advice
• Tax advice
• A securities offering
• A promise of profit
• A guaranteed return
• An appraisal

You acknowledge risks including:

• Price volatility
• Lack of liquidity
• Counterfeiting
• Market manipulation
• Pricing errors
• Regulatory changes
• Shipping loss
• Uninsured custody loss
• Withdrawal delays
• Vault or platform outages
• Seller fraud
• Changes in grading-company reputation

You should not acquire Assets in reliance on future resale or permanent Buyback availability.

You are responsible for determining and paying taxes relating to purchases, sales, Buybacks, Marketplace proceeds, promotions, imports, exports, and ownership transfers.

GotYa may collect taxes, withhold amounts, request tax information, issue reports, or disclose transactions where required by law.

30. Suspension, Closure, Dormancy, and Insolvency

GotYa may suspend an Account, Asset, transaction, Wallet, withdrawal, listing, or redemption because of:

• Fraud
• Chargebacks
• Security concerns
• Sanctions
• Legal obligations
• Verification failure
• Ownership disputes
• Market manipulation
• Technical errors
• Bank or payment-provider requirements
• Breach of these Terms
• Self-exclusion

An Account cannot be fully closed until pending transactions, negative balances, Assets, withdrawals, and legal holds are resolved.

Termination does not automatically transfer valid user-owned Assets to GotYa or forfeit cleared Wallet balances.

Account inactivity does not automatically transfer ownership of Assets to GotYa.

If an Account is inactive, GotYa may attempt to contact the user and may apply applicable unclaimed-property, custody, insolvency, or court procedures.

If a user dies or becomes incapacitated, GotYa may require legal, probate, identity, inheritance, or court documents before releasing Assets or funds.

If GotYa ceases operations or becomes insolvent, GotYa intends to use available records to identify user-owned Assets and may:

• Suspend transactions
• Stop Pack purchases and Buybacks
• Require identity verification
• Arrange physical return
• Transfer Assets to another custodian
• Request redemption instructions

Users may be responsible for reasonable shipping, handling, customs, tax, bank, and verification costs.

Because Wallet funds are held in VBR GROUP LLP’s operating account and are not segregated client money, Wallet users may be unsecured creditors in an insolvency and full recovery is not guaranteed.

31. Service Availability and Changes

GotYa is provided on an “as is” and “as available” basis.

GotYa does not guarantee uninterrupted, error-free, or permanent availability.

The Service may be affected by maintenance, cyberattacks, server failure, bank failure, payment-provider outages, Vault disruption, carrier issues, pricing-data outages, grading-database outages, regulatory action, inventory errors, internet failures, or force majeure.

GotYa may add, remove, restrict, or change features, including:

• Pack formats
• Odds presentation
• Buyback percentages
• Buyback validity periods
• Marketplace fees
• Wallet methods
• Withdrawal methods
• Rewards
• Storage fees
• Supported Assets
• Supported jurisdictions

Changes apply prospectively unless fraud, security, legal, or technical issues require corrective action.

32. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, GotYa does not guarantee that:

• Every Asset will increase in value
• A Pack will return the Pack Price
• FMV will match a sale
• Buyback will remain available
• Marketplace liquidity will exist
• Every counterfeit will be detected
• Every grading record will be accurate
• Every Vault loss can be compensated
• Every shipment will arrive without delay
• Software will always operate without error

Mandatory consumer warranties remain unaffected.

GotYa and its officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, including lost profits, missed opportunities, market-value losses, missed Buybacks, reputational loss, third-party failures, user error, or regulatory changes.

For ordinary claims relating to the Service, GotYa’s aggregate liability will not exceed the greater of:

• Fees paid directly to GotYa during the 12 months before the event giving rise to the claim
• USD 100

For valid claims involving a lost, destroyed, or damaged vaulted Asset, liability will depend on the circumstances, applicable law, custody provisions, and the reasonable FMV immediately before the event.

For Wallet claims, liability will not exceed the cleared balance GotYa was legally obligated to credit or return.

Nothing limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where non-excludable, death or personal injury caused by negligence where applicable, mandatory consumer rights, or liability that cannot legally be limited.

33. Indemnity and User Disputes

To the fullest extent permitted by law, you agree to indemnify GotYa, VBR GROUP LLP, and their officers, employees, affiliates, contractors, and providers against third-party claims, liabilities, costs, and reasonable legal fees arising from:

• Your breach of these Terms
• Unlawful conduct
• Fraud
• User Content
• Infringement of third-party rights
• Marketplace manipulation
• Payment fraud
• Tax obligations
• A dispute with another user

This does not apply where prohibited by consumer law or where the claim was caused by GotYa’s wrongful conduct.

GotYa may assist with user disputes but is not required to do so.

Except where GotYa is the Buyer or Seller, GotYa is generally not a party to user Marketplace transactions.

34. Privacy and Electronic Communications

GotYa’s Privacy Policy explains how personal information is collected, used, stored, and shared.

You consent to receive communications through email, Account notices, website notices, platform messages, and push notifications.

Electronic notices satisfy legal requirements that communications be in writing, where permitted by law.

You are responsible for maintaining a valid email address.

35. Changes to These Terms

GotYa may update these Terms to reflect Service changes, laws, regulation, security practices, payment methods, custody arrangements, Marketplace changes, or business operations.

Material changes may be notified through:

• Email
• An Account notice
• The website
• An acceptance screen
• Another reasonable method

Where required by law or where changes materially affect user rights, GotYa may require active acceptance.

Changes generally apply prospectively from their effective date.

36. Governing Law and Disputes

These Terms are governed by the laws of England and Wales.

Mandatory consumer protections in a user’s country remain applicable where they cannot legally be excluded.

For business users and where legally permitted, the competent courts of England and Wales have exclusive jurisdiction.

Consumers may bring claims in another competent jurisdiction where mandatory law permits.

To the fullest extent permitted by law, claims should be brought individually rather than through class, collective, or representative actions.

37. General Legal Terms

GotYa is not responsible for delay or failure caused by events beyond its reasonable control, including natural disaster, war, fire, flood, government action, cyberattack, Vault failure, payment-network failure, carrier failure, labor dispute, epidemic, pandemic, sanctions, or regulatory prohibition.

You may not assign your rights under these Terms without GotYa’s written consent.

GotYa may assign these Terms as part of a merger, acquisition, financing, restructuring, sale, or transfer to an affiliate.

If a provision is invalid or unenforceable, the remaining provisions remain effective.

Failure to enforce a provision does not waive the right to enforce it later.

These Terms, together with the Privacy Policy, Pack disclosures, Marketplace rules, auction rules, and promotion rules, form the entire agreement relating to the Service.

The English version controls where a translation conflicts, to the extent permitted by law.
